1. Who we are
Mouthwater Studio is a trading name of Matthew Cobbledick, a sole trader based in England. Contact: matt@mouthwaterstudio.com. Address for legal notices: Woodview Campsite, Little Youlstone, Morwenstow, Bude, Cornwall, EX23 9PU. In these terms "we", "us" and "our" mean Mouthwater Studio, and "you" means the business ordering from us.
2. Business customers only
Our services are for businesses. By placing an order you confirm that you are acting for a business and not as a consumer, and that you have authority to agree to these terms on its behalf.
3. Our services
We create AI-assisted product images, video ads and related content ("the Work") as described in the package you choose or the quote we send you. Anything not described there is outside the scope of your order and may be quoted separately.
4. Orders and payment
- Packages are paid in full before work begins, by card through our payment provider, Stripe, either on our website or through a payment link we send you. We do not see or store your card details.
- Custom projects are paid as set out in the quote you accept.
- The Monthly Growth plan is billed monthly in advance and has no minimum term. You may cancel at any time before your next payment date; the current month is not refunded.
- We are not currently VAT registered. Prices are in pounds sterling.
- Offers, including the Christmas offer, apply only as described on our website at the time you order or where we have confirmed them in writing.
5. What you provide
You agree to send clear photos of your product, your label and logo files, and any other information we reasonably ask for. Delivery times start once we have everything we need. You confirm that you own, or have permission to use, everything you send us, including product designs, labels, logos, trade marks and images, and you give us permission to use them to create the Work. You agree to indemnify us against any claim that our use of your materials, as instructed by you, infringes someone else's rights.
6. Campaign plan, approval and changes
- Before producing the Work we send you a written campaign plan describing the scenes, ideas and products for each item. Production begins once you approve the plan. You may request changes to the plan before approving it.
- After final delivery, one round of tweaks is included (for example colour, text or cropping changes to the delivered files). New ideas or changes to an approved plan may be charged separately, and we will tell you the price before doing the work.
- You are responsible for checking the final Work before you use it, including product details, label text, prices, ingredients, allergens and any claims.
7. AI-generated content
- The Work is created using third-party generative AI tools and refined by us. AI output can contain imperfections. We check the Work carefully, but you must review it before use.
- AI-generated content may not be protected by copyright in every country, and AI tools can produce similar output for other people. We make your Work specifically for you, but we cannot guarantee that it is unique or exclusive.
- We do not create fake reviews or testimonials, content that imitates real people without permission, or content designed to mislead.
8. Your use of the Work and advertising rules
You are responsible for how and where you publish the Work. This includes following the UK Code of Non-broadcast Advertising (CAP Code), food labelling and advertising law, and the rules of each platform you use, including any requirement to label AI-generated content. We may give general guidance on labelling, but this is not legal advice.
9. Rights in the Work
Once you have paid in full, we transfer to you any rights we own in the final Work, and you may use it to market your business in any medium, worldwide and without time limit. This is subject to the terms of the AI tools used to create it. Concepts, drafts and unused material remain ours. We may show the Work in our portfolio unless you ask us not to in writing.
10. Timings
Delivery times are given in working days and are estimates. We will always keep you updated, but we are not responsible for delays caused by late information or approvals, or by events outside our reasonable control.
11. Cancellations and refunds
- If you cancel before you have approved your campaign plan, we will refund you in full.
- Once you have approved the plan, payment covers the work already done and is not refundable, but we will still complete and deliver your order.
- If we are unable to deliver what you ordered, we will refund you for the part that was not delivered.
12. No guarantee of results
We create content designed to perform well, but we do not guarantee any particular level of sales, engagement, reach or other results.
13. Our liability
- Our total liability to you for any order is limited to the amount you paid for that order.
- We are not liable for any loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss.
- Nothing in these terms limits liability that cannot legally be limited, including for death or personal injury caused by negligence, or for fraud.
14. Confidentiality and data
We keep your unreleased products and business information confidential. We handle personal data as described in our privacy notice.
15. Changes to these terms
We may update these terms from time to time. The version in force when you place an order applies to that order.
16. Law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
